Terms of Service

1. Introduction and Parties

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you", or "your") and:

("FlexPortal", "we", "us", or "our")

By accessing or using FlexPortal's services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.

2. Definitions

In these Terms, the following definitions apply:

  • "Business Unit" means an isolated workspace within FlexPortal with its own currency, tax rules, payment account (e.g., Stripe), product catalog, API keys, and reporting.
  • "Platform" means the FlexPortal software-as-a-service platform accessible at flexportal.io and related subdomains.
  • "Platform Fee" means the percentage fee calculated on subscription revenue billed through FlexPortal each month, excluding taxes, refunds, and chargebacks.
  • "Subscription Revenue" means the total charges billed to your customers via FlexPortal in a calendar month.
  • "Services" means the subscription management platform and all related features, APIs, documentation, and support provided by FlexPortal.
  • "Customer Data" means all data that you or your end customers upload, submit, or otherwise provide to the Platform.

3. Eligibility

FlexPortal is a business-to-business (B2B) platform. To use our Services, you must:

  • Be a validly registered and operational business entity
  • Have the legal authority to enter into these Terms on behalf of your organization
  • Be at least 18 years of age
  • Not be prohibited from using the Services under applicable laws

FlexPortal is not intended for individual consumers or personal use. By creating an account, you represent and warrant that you meet these eligibility requirements.

4. Account Registration and Security

To access the Services, you must create an account on behalf of your organization. You agree to:

  • Provide accurate, current, and complete registration information
  • Maintain and promptly update your account information
  • Accept responsibility for all activities that occur under your account, including activities by team members you invite
  • Notify us immediately at support@flexportal.io of any unauthorized access or security breach

4.1 Team Members and Access

You may invite team members to access your account with varying permission levels. When inviting team members, you agree to:

  • Only invite individuals who are authorized to act on behalf of your organization
  • Assign appropriate roles and permissions based on each team member's responsibilities
  • Promptly remove access for team members who leave your organization or no longer require access
  • Ensure all team members comply with these Terms

You remain responsible for all actions taken by team members under your account. Each team member must maintain the confidentiality of their own login credentials and should not share access with others.

4.2 Account Security

We offer multi-factor authentication (MFA) for all users. We recommend enabling MFA for enhanced security, particularly for users with administrative access. We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used in violation of these Terms.

5. Description of Services

FlexPortal provides an all-in-one platform to launch and manage physical products as subscriptions. Our Services include:

  • Subscription Management: Create subscription plans, handle renewals, manage contract terms, and process end-of-term actions (returns, upgrades, buyouts)
  • Asset Tracking: Monitor physical product lifecycle, location, condition, and cost recovery
  • Payment Automation: Stripe integration for recurring billing, invoicing, and payment processing
  • Customer Management: Manage subscriber information, billing groups, and customer portals
  • Business Unit Architecture: Separate business units by country, brand, or business model
  • API and Webhooks: Programmatic access to extend functionality and integrate with existing systems
  • Analytics and Reporting: Track subscription revenue, churn, asset utilization, and profitability metrics

FlexPortal is a software platform only. We do not own, lease, insure, or take responsibility for any physical products or assets managed through the Platform. You are solely responsible for all physical products, their condition, insurance, and compliance with applicable laws.

5.1 Third-Party Services and Integrations

The Platform integrates with third-party services, including payment processors (e.g., Stripe), and allows you to connect additional services via our API. You acknowledge that:

  • Third-party services are governed by their own terms and privacy policies
  • You are responsible for your agreements with third-party service providers
  • FlexPortal is not responsible for the availability, accuracy, or performance of third-party services
  • Third-party service outages or changes may affect Platform functionality
  • We may update or change supported integrations with reasonable notice

5.2 API Usage

Access to our API is included on all plans. When using the API, you agree to:

  • Keep your API keys confidential and secure
  • Not share API keys or allow unauthorized access
  • Comply with our rate limits and fair use guidelines as documented
  • Not use the API in ways that could harm, disable, or impair the Platform
  • Not attempt to circumvent any API limitations or security measures

We may suspend API access if we detect abuse, excessive usage that impacts other customers, or security concerns. API documentation is available at docs.flexportal.io/api-reference.

5.3 Beta Features

We may offer beta, preview, or early access features ("Beta Features"). Beta Features are provided for evaluation purposes and may be incomplete, contain bugs, or change significantly. By using Beta Features, you acknowledge that:

  • Beta Features are provided "as is" without any warranty
  • Beta Features may be modified, suspended, or discontinued at any time without notice
  • Data created in Beta Features may not be preserved
  • Beta Features are not covered by our standard support or SLAs
  • You should not rely on Beta Features for production use unless advised otherwise

Feedback on Beta Features is welcomed and may be used to improve the Services without compensation or attribution.

6. Subscription Plans and Pricing

FlexPortal offers the following subscription plans. All prices are in US Dollars (USD) unless otherwise specified:

6.1 Starter Plan

  • Base fee: $250 per month
  • Platform fee: 2% of Subscription Revenue
  • Business Units (Markets): Up to 2
  • Annual option: $2,250 per year (25% discount)

6.2 Growth Plan

  • Base fee: $500 per month
  • Platform fee: 1.5% of Subscription Revenue
  • Business Units (Markets): Up to 5
  • Includes 45-minute orientation call in first month
  • Annual option: $4,500 per year (25% discount)

6.3 Enterprise Plan

  • Base fee: From $2,000 per month
  • Platform fee: Custom rate based on volume
  • Business Units (Markets): Unlimited
  • Dedicated Slack support, Single Sign-On, SLAs, and custom terms available
  • Annual option: 25% discount on base fee

Current pricing is displayed on our pricing page. We may modify pricing upon 60 days' written notice. Such changes will take effect at the start of your next billing period following the notice period.

7. Platform Fees

The Platform Fee is calculated as a percentage of Subscription Revenue processed through FlexPortal each month. This fee is separate from any payment processing fees charged by third-party providers (e.g., Stripe).

The following are excluded from Platform Fee calculations:

  • Taxes (VAT, sales tax, etc.)
  • Refunds and chargebacks
  • Shipping charges

Platform Fees are calculated automatically on the first day of each month based on the previous month's Subscription Revenue and are invoiced in arrears.

8. Billing and Payment

8.1 Payment Methods

Payments for FlexPortal subscriptions are processed by Stripe. Stripe handles payment processing, automatic tax calculation (via Stripe Tax), and invoice generation on our behalf. Starter and Growth plans require payment by credit or debit card via Stripe Checkout. Enterprise plans may be invoiced with payment terms as agreed. You can manage your subscription, payment methods, and access invoices through the Stripe Customer Portal.

8.2 Billing Cycle

Base fees are billed in advance at the start of each billing period (monthly or annually). Platform Fees are billed in arrears following the close of each calendar month.

8.3 Annual Subscriptions

Annual subscriptions are billed upfront for the full year and provide a 25% discount on the base fee. Annual subscriptions run for their full term and are non-refundable after the 30-day money-back guarantee period, except as required by law.

8.4 Late Payment

If payment is not received when due, we may suspend access to the Services until payment is received. Interest on overdue amounts shall accrue in accordance with the Swedish Interest Act (räntelagen).

9. Money-Back Guarantee

All plans include a 30-day money-back guarantee. If you are not satisfied with FlexPortal for any reason:

  • Request a refund within 30 days of your first payment
  • Receive a full refund processed within 5 business days
  • The guarantee applies to both monthly and annual plans
  • Contact support@flexportal.io to request a refund

After the 30-day period, subscription fees are non-refundable except as expressly stated in these Terms or required by applicable law.

10. Cancellation and Commitment

10.1 Monthly Subscriptions

Monthly subscriptions have no minimum commitment. You may cancel at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period.

10.2 Annual Subscriptions

Annual subscriptions run for their full 12-month term. You may cancel to prevent automatic renewal, but the current annual term will continue until its scheduled end date. No prorated refunds are provided for unused portions of annual subscriptions after the 30-day money-back guarantee period.

10.3 Effect of Cancellation

Upon cancellation or termination:

  • Your access to the Platform continues until the end of your current billing period
  • You have 30 days after your subscription ends to export your Customer Data using our export tools
  • We will send reminder emails during this 30-day period
  • After the 30-day export period, your Customer Data will be permanently deleted
  • Certain data may be retained longer as required by law (e.g., billing records for 7 years per Swedish accounting requirements)

10.4 Suspended and Unpaid Accounts

If your account is suspended due to non-payment:

  • We will notify you of the outstanding balance and provide 14 days to resolve payment issues
  • If payment is not received within 14 days, your account will be suspended and access to the Platform will be restricted
  • Your data will be retained for 60 days from the suspension date
  • During this period, you may reactivate your account by paying outstanding fees
  • We will send reminder emails at 30 days and 7 days before permanent deletion
  • After 60 days, your Customer Data will be permanently deleted

We are not obligated to maintain data for cancelled, suspended, or terminated accounts beyond these periods.

11. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not:

  • Use the Services for any illegal or unauthorized purpose
  • Violate any applicable laws, regulations, or third-party rights
  • Attempt to gain unauthorized access to our systems, networks, or other users' accounts
  • Interfere with or disrupt the Services or servers
  • Transmit viruses, malware, or other harmful code
  • Use the Services to send spam or unsolicited communications
  • Sublicense, resell, or distribute the Services without our prior written consent
  • Use automated means (bots, scrapers) to access the Services except through our documented APIs
  • Circumvent any usage limits, rate limiting, or security measures
  • Store or process data that violates applicable data protection laws

We reserve the right to investigate violations and take appropriate action, including suspending or terminating your account.

12. Your Responsibilities

You are solely responsible for:

  • Physical Products: All physical products and assets managed through the Platform, including their procurement, condition, maintenance, insurance, and compliance with applicable laws
  • Customer Relationships: Your relationships with your end customers, including customer service, disputes, and legal compliance
  • Data Accuracy: The accuracy and legality of all Customer Data uploaded to the Platform
  • Compliance: Compliance with all applicable laws, including consumer protection, tax, and data protection regulations in your jurisdictions
  • Insurance: Obtaining appropriate insurance coverage for your physical products and business operations
  • Payment Processing: Your relationship with payment processors and compliance with their terms

13. Intellectual Property

13.1 Our Intellectual Property

FlexPortal and all related technology, software, documentation, trademarks, logos, and content are owned by Adam Development AB and are protected by Swedish and international intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services during your subscription term solely for your internal business purposes.

13.2 Your Content

You retain all rights to your Customer Data. By uploading Customer Data to the Platform, you grant us a limited license to use, process, and display such data solely to provide the Services to you.

13.3 Feedback

If you provide suggestions, ideas, or feedback about the Services, we may use such feedback without restriction or compensation to you.

14. Data Processing

14.1 Role of Parties

With respect to Customer Data processed through the Platform, you act as the data controller and FlexPortal acts as the data processor. We process Customer Data only in accordance with your instructions and applicable data protection laws.

14.2 Data Processing Agreement

Enterprise customers may request a Data Processing Agreement (DPA) that sets out detailed data processing terms in compliance with GDPR and other applicable data protection laws.

14.3 Data Residency

You may choose to have your data stored in either our EU region (Frankfurt, Germany) or US region (Iowa, United States). Enterprise customers may request additional regional deployments subject to separate agreement.

15. Service Levels

15.1 Availability Target

We target 99% platform availability per calendar month, excluding:

  • Scheduled maintenance (communicated in advance)
  • Force majeure events
  • Issues caused by third-party services outside our reasonable control
  • Issues caused by your systems, networks, or actions

15.2 Support

Support is provided via email at support@flexportal.io. Response times vary by plan:

  • Starter: Best-effort response
  • Growth: Response within 2 business days
  • Enterprise: Priority response within 1 business day, with dedicated Slack support

15.3 Enterprise SLAs

Enterprise customers may negotiate specific Service Level Agreements with defined uptime commitments and remedies.

16. Disclaimer of Warranties

16.1 "As Is" Provision

EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FLEXPORTAL DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE
  • WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE
  • WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE SERVICES

16.2 Limited Warranty

FlexPortal warrants that: (a) the Services will perform substantially in accordance with our documentation during your subscription term; and (b) we will provide the Services using commercially reasonable care and skill. Your sole remedy for breach of this limited warranty is, at our option, repair or replacement of the non-conforming Services, or termination of the affected Services and a prorated refund of prepaid fees.

16.3 No Warranty for Third-Party Services

We make no warranties regarding any third-party services, integrations, or content accessed through or in connection with the Platform, including but not limited to Stripe, payment processors, or any services you integrate via our API.

17. Limitation of Liability

17.1 Exclusion of Indirect Damages

To the maximum extent permitted by law, neither party shall be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, even if advised of the possibility of such damages.

17.2 Liability Cap

Our total aggregate liability under these Terms shall not exceed the total fees paid by you to FlexPortal during the twelve (12) months immediately preceding the claim.

17.3 Exceptions

These limitations do not apply to: (a) your payment obligations; (b) either party's indemnification obligations; (c) breaches of confidentiality; (d) gross negligence or willful misconduct; or (e) liability that cannot be limited by applicable law.

18. Indemnification

You agree to indemnify, defend, and hold harmless FlexPortal, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of the Services
  • Your violation of these Terms
  • Your Customer Data
  • Your relationships with your end customers
  • Your physical products and assets
  • Your violation of any applicable laws or third-party rights

19. Termination

19.1 Termination by You

You may terminate your subscription at any time by canceling through your account settings or contacting support@flexportal.io. Cancellation takes effect as described in Section 10.

19.2 Termination by Us

We may suspend or terminate your access to the Services immediately if you:

  • Materially breach these Terms and fail to cure such breach within 30 days of written notice
  • Fail to pay fees when due after reasonable notice
  • Engage in illegal activities or violate the acceptable use policy
  • Become insolvent or subject to bankruptcy proceedings

19.3 Effect of Termination

Upon termination of your account:

  • License termination: Your license to use the Services terminates immediately upon the effective termination date
  • Outstanding fees: You must pay all fees accrued through the termination date
  • Data export: For voluntary cancellations, you have 30 days to export your Customer Data as described in Section 10.3
  • Data retention: For accounts suspended due to non-payment, data is retained for 60 days as described in Section 10.4
  • Data deletion: After the applicable retention period, your Customer Data will be permanently deleted
  • No refunds: Except as provided in Section 9 (Money-Back Guarantee) or required by law, fees are non-refundable

Termination does not relieve you of any obligations that accrued prior to termination, including payment of fees. See Sections 10.3 and 10.4 for detailed data retention timelines.

20. Confidentiality

Each party agrees to keep confidential all non-public information received from the other party that is designated as confidential or that reasonably should be understood to be confidential. This obligation survives for five (5) years from disclosure, except for trade secrets which remain confidential indefinitely.

21. Modifications to Terms

We may modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or through the Platform. Your continued use of the Services after the effective date of changes constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you may terminate your subscription before the changes take effect.

22. General Provisions

22.1 Entire Agreement

These Terms, together with our Privacy Policy and any order forms or addenda, constitute the entire agreement between you and FlexPortal regarding the Services and supersede all prior agreements and understandings.

22.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

22.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

22.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.

22.5 Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including natural disasters, war, terrorism, strikes, government actions, or internet or telecommunications failures.

22.6 Notices

All notices under these Terms must be in writing. We may provide notices to you via:

  • Email to the address associated with your account
  • In-app notifications within the Platform
  • Posting on our website for general announcements

Notices are deemed received: (a) if by email, when sent (unless we receive a delivery failure notification); (b) if in-app, when displayed; (c) if posted on our website, upon posting. You must send notices to us at support@flexportal.io or to our mailing address.

22.7 Survival

The following sections shall survive termination or expiration of these Terms: Definitions, Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Confidentiality, General Provisions, and Governing Law and Disputes. Any other provisions that by their nature should survive shall also survive termination.

23. Governing Law and Disputes

23.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Sweden, without regard to its conflict of laws principles.

23.2 Dispute Resolution

The parties agree to attempt to resolve any disputes through good-faith negotiation. If a dispute cannot be resolved through negotiation within 30 days, either party may submit the dispute to the District Court of Örebro, Sweden, which shall have exclusive jurisdiction.
